OpenWorld, Inc. (NASDAQ: OPNW) said on October 26 that its planned dual listing on Figure's On-chain Public Equity Network, known as Figure OPEN, remains on track to go live in the fourth quarter of 2026.

Stockholders holding about 57.57% of the company's common stock approved amended and restated articles of incorporation on October 16 by written consent. The articles authorize 500,000,000 shares of a new class called Blockchain Common Stock. The company describes it as a blockchain-native version of its existing Nasdaq-listed shares.

The Figure OPEN listing involves no new shares and will not raise capital. OpenWorld says its total outstanding shares will not increase. Blockchain Common Stock is designed to settle in real time rather than on the conventional T+1 cycle, and to trade around the clock. Stockholders can choose to hold and trade on Nasdaq or on Figure OPEN.

OpenWorld has appointed Vinyl Equity, Inc., an SEC-registered transfer agent, to maintain records for both traditional and blockchain-based shares. The company says it remains subject to the same SEC reporting requirements, corporate governance standards and investor protections.

The Florida angle

OpenWorld describes itself as a blockchain innovation company advancing real-world asset tokenization. The announcement is datelined Lake Mary, Fla.

The announcement does not report Florida hiring or Florida investors tied to the listing.
